1. Acceptance of Terms

Welcome to Rooms.com. World Travel Holdiings, LLC DBA Rooms.com ("Rooms.com") provides its service to you, subject to the following terms of service ("TOS"), which may be updated by us from time to time without notice to you. The TOS constitute the entire agreement between you and Rooms.com and govern your use of our site, superseding any prior agreements between you and Rooms.com. In addition, when using particular Rooms.com services, you will be subject to any posted guidelines or rules applicable to such services, which may be posted from time to time. Separate terms and conditions will apply to your reservation and you agree to abide by the terms or conditions imposed by any supplier you have selected. You understand that any violation of any such supplier's terms and conditions may result in your being denied access to any flights, hotels, cruises or automobiles, or other goods or services purchased, in your forfeiting any monies paid for such reservation(s) or purchase, and in the Company debiting your account for any costs we incur as a result of such violation. You will be completely responsible for all charges, fees, duties, taxes, and assessments arising out of your use of this website.

2. Description of Service

Rooms.com provides users with the access to a rich collection of on-line resources, including various information tools, online forums, personalized content and product specific information provided by third parties. You understand and agree that the Service is provided "AS IS" and that Rooms.com assumes no responsibility for the descriptions, availability or misquotation of offers and programs provided by the cruise lines or their agents. In addition, comments made by the members of the online forums are made without the knowledge, endorsement or agreement of Rooms.com. The comments, opinions and experiences are shared independently of Rooms.com, its partners and agents and Rooms.com does not assume the responsibility of the accuracy or validity of the content expressed therein.

3. Your Warranties to Us

You warrant that you are at least 18 years old and possess the legal authority to enter into this agreement and to use this website in accordance with the terms and conditions of this agreement. You also warrant that any information supplied by you or members of your household is true and accurate. You agree to be financially responsible for all use of this website by you or any member of your household, and including minors, the use of your name and credit card account to pay for products and services purchased at this website by members of your household.

As a condition of your use of this website, booking a reservation through us, or using any of the information from the website, you warrant and represent to us that you will not use this website or information, for any illegal or commercial purpose, or for any purpose that is prohibited by this agreement, and you agree not to: modify, copy, distribute, publish, license, or sell any product, services, information or software obtained from this website.

4. Indemnification

You agree to defend and indemnify Rooms.com, its affiliates, and/or their respective suppliers and any of their officers, directors, employees and agents from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by Donna- close the gapyou or on your behalf or by third parties as a result of your breach of this agreement or the documents referenced herein, your violation of any law or the rights of a third party; or your use of this website.

5. No Resale of Service

You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the site, use of the site or access to the site.

6. Privacy Policy

This is how we will handle information we learn about you from your visit to our website. The information we receive depends upon what you do when visiting our site.

If you visit our site to review our content or download information, we collect and store the name of the domain from which you access the Internet, your country, your city (if from the United States) the Internet address from which you linked directly to our site, and the date and time you accessed our site. This information is used to contact you for customer service, to guarantee your reservation with our travel suppliers and/or to bill you for your travel purchase. You may, from time to time, be identified via your email address as someone who may have interest in receiving special offers from Rooms.com or one of our affiliated companies. In the event you receive a communication from Rooms.com or one of our affiliated companies and you would like to stop receiving communications, you can remove yourself from our mailing list by notifying Rooms.com or the affiliated company, as the case may be, via a link provided in each of our communications
You may, from time to time, be identified via your email address by friends or associates as someone who may have interest in receiving special offers from Rooms.com or one of our affiliated companies. In the event you receive a communication from Rooms.com or one of our affiliates as the result of this action and you would like to stop receiving communications, you can remove yourself from our mailing list by notifying Rooms.com or the affiliate, as the case may be, via a link provided in each of our communications.

We use this information to email you special offers tailored to your interests and vacation preferences. Rooms.com takes steps to assure that our data collection is accurate, complete and timely.

Third-party vendors
Some of Rooms.com's online booking engines are powered by third-party vendors. You should note that these vendors may have privacy policies and practices that differ from those of Rooms.com. We strongly encourage you to read the privacy policies of these vendors when using their websites.

Use of cookies
In order to personalize our site to your interests, Rooms.com uses cookies to recognize you and your preferences when you visit us. Cookies also enable us to maintain certain functionality within the site. Most browsers are initially set to accept cookies. If you'd prefer, you can set your browser to refuse cookies or to alert you when cookies are being sent. However, it is possible that some parts of the site will not function properly if you do so.

By using Rooms.com, you signify your assent to the Rooms.com Privacy Policy. If you do not agree to this policy, please do not use our site. We reserve the right, at our discretion, to change, modify, add, or remove portions of this policy at any time. Please check this page periodically.

7. Prepaid Hotel Transactions

Your credit card will be charged for the full cost of your reservation upon submitting your reservation request. The cost of your reservation is comprised of: the indicated room rate multiplied by the number of days in your reservation, plus an additional amount for the tax recovery charges and our service fees. We are not the vendor collecting and remitting this tax to the applicable tax authorities. We remit such taxes and fees directly to the vendor. The tax recovery charge is assessed to recover the amount we pay to the hotel in connection with your reservation for all applicable taxes and fees, and the balance of the additional amount is a fee we charge in connection with the handling of your reservation.

You may cancel or change your prepaid reservation, but you will be charged the cancellation or change fee indicated on the reservation order form. If you do not cancel or change your reservation before the applicable cancellation policy period which varies by hotel (usually 24 to 72 hours prior to your date of arrival), you will be subject to a charge of one-night's room rate, tax recovery charges and service fees. No refunds will be made for no-shows or early checkouts. In some cases, hotels do not permit changes to or cancellations of reservations after they are made, generally for stays during holiday periods or special events. You will be notified before the reservation order is completed and your credit card is charged if a reservation is non refundable or non changeable. You agree to abide by the terms and conditions imposed with respect to any completed reservation order for a hotel stay as specified on the reservation order form.

WE OFFER TRAVEL INSURANCE AT VERY REASONABLE RATES AND THE PURCHASE OF THIS TRAVEL INSURANCE IS STRONGLY RECOMMENDED.

8. Travel Destinations

We urge passengers to review travel prohibitions, warnings, announcements and advisories issued by the United States Government prior to booking travel to international destinations. Information on conditions in various countries and the level of risk associated with travel to particular international destinations can be found at www.state.gov, www.tsa.gov, www.dot.gov, www.faa.gov, www.cdc.gov, www.treas.gov/ofac and www.customs.gov.

BY OFFERING FOR SALE TRAVEL TO PARTICULAR INTERNATIONAL DESTINATIONS, ROOMS.COM DOES NOT REPRESENT OR WARRANT THAT TRAVEL TO SUCH POINTS IS ADVISABLE OR WITHOUT RISK, AND IS NOT LIABLE FOR DAMAGES OR LOSSES THAT MAY RESULT FROM TRAVEL TO SUCH DESTINATIONS.

9. Dealings with Advertisers or other 3rd Parties

Your correspondence or business dealings with, or participation in promotions of, advertisers or other 3rd parties found on or through our site including payment and delivery of related goods and services, and any other terms, conditions, warranties are solely between you and such advertiser or provider. You agree that Rooms.com shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers or providers on our site. Some of the content that refers to city attractions, things to do, hotel accommodations, restaurants and other services is the property of, and is supplied by third parties that are not under our control. Rooms.com does not independently verify, and does not guarantee, the accuracy of the information that we receive from such third parties. All information, prices and availability are subject to change without notice.

10. Pricing

Prices featured in the Rooms.com reservation system are not final until payment has been received by Rooms.com. Final payment must be confirmed and validated by Rooms.com. In addition, pricing and availability may change without notice. Rooms.com is not responsible for errors or omissions that may occur as a result of the transfer of incorrect information from selected third parties and reserves the right to cancel a reservation if it determines that a pricing error has occurred.

11. Fee Schedule for Changes or Cancellation

These fees may be assessed if changes are made after deposit, or if the booking is cancelled. Fees listed below are in addition to the fees imposed by 3rd party providers of the reserved travel services.

Cancellation: $25.00
Reroute or reissue documents: $25.00 per package
Change credit card after payment due date: $25.00 per change
Name change: $25.00 per name
Air deviation: $25.00 per passenger
Rate adjustment: 10% of rate differential

12. Electronic Communications

You communicate with the Company electronically whenever you visit Rooms.com or send emails to us. You consent to receive communications from the Company electronically and by fax. You agree that all notices, disclosures, agreements and other communications that we provide to you electronically or by fax satisfy any legal requirements that communications be in writing.

13. Liability Disclaimer

We make no representations about the suitability of the information, software, products, and services contained on this website for any purpose. All such information, software, products, and services are provided "as is" without warranty of any kind. We hereby disclaim all warranties and conditions with regard to this information, software, products, and services, including all implied warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement.

The information, software, products, and services published on this website may include inaccuracies or typographical errors. In particular, we do not guarantee the accuracy of and disclaim liability for inaccuracies relating to photographs, property or supplier product, amenities, or service descriptions displayed on this site, much of which information is provided by the vendors. Hotel ratings displayed on the site are intended only as general guidelines, and do not guarantee the accuracy of the ratings. We may make improvements and/or changes on the site at any time.

Airlines, hotels, cruise lines, car rental companies, and other suppliers providing travel or other services for us are independent contractors and not our agents or employees. We are not liable for the acts, errors, omissions, representations, warranties, breaches or negligence of any such suppliers or for any personal injuries, death, property damage, or other damages or expenses resulting therefrom. We have no liability and will make no refund in the event of any delay, cancellation, overbooking, strike, force majeure or other causes beyond our direct control, and we have no responsibility for any additional expense, omissions, delays, re-routing or acts of any government or authority.

In no event will we be liable for any direct, indirect, punitive, incidental, special or consequential damages arising out of, or in any way connected with the use of the site or with the delay or inability to use the site, or for any information, software, products, and services obtained through the site, whether based on contract, tort, strict liability, or otherwise, even if we have been advised of the possibility of damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

14. General

By using the site or booking a reservation through us you agree that the internal laws of the State of New York, without regard to the principles of conflicts of laws, will govern this agreement and any dispute of any kind that arises between you and the company or it's affiliates. You hereby agree that any legal proceeding relating to the use of the site or reservations made through us may, if not amicably resolved, be brought only in the United States District Court for the Eastern District of New York, or for New York State residents, in Suffolk County, NY. Use of the site is unauthorized in any jurisdiction that does not give effect to all provisions of this agreement, including, but not limited, to this paragraph. We reserve the right to comply with law enforcement requests or requirements relating to your use of the site or information provided to or gathered by the Rooms.com with respect to your use of the site. If any provision of this agreement is determined to be invalid or unenforceable pursuant to applicable law by any court of competent jurisdiction, the other provisions of this agreement will remain in full force and effect.
